New York – December 8, 2017: GigCapital, Inc., a corporation that is an emerging-growth blank check company newly formed for the purpose of entering into a merger, share exchange, asset acquisition, stock purchase, recapitalization, reorganization, or similar business combination with one or more businesses, today announced the pricing of its initial public offering of 12.5 million units at a price of $10.00 per unit. The units will be listed on the New York Stock Exchange and trade under the ticker symbol “GIG.U” beginning December 8, 2017. Washington, November 28, 2017: Novume Solutions, Inc., a holding company of leading professional services firms, entered into a definitive agreement effective November 16, 2017, under which Novume will acquire NeoSystems Corp. for cash, Novume restricted stock, and Novume’s assumption of certain NeoSystems’ liabilities.

Washington – November 17, 2017: Crowell & Moring LLP represented NRG Yield, Inc. in acquiring a 38 megawatt portfolio of solar facilities from NRG Energy, including NRG’s Solar Power Partners funds, for a total  consideration of $71 million in cash plus assumed debt of $26 million. The transaction closed on November 1, 2017. The Crowell & Moring team included partner Patrick W. Lynch, counsel Nicholas James, partner Scott J. Moore, partner David Chung, partner Jennifer A. Washington, D.C. – October 27, 2017: Crowell & Moring LLP is pleased to announce that client CSX Transportation, Inc. (CSXT) prevailed in obtaining the denial of class certification, dismissing a group of rail shippers in their renewed bid to proceed as a class in a lawsuit alleging the country’s four largest freight railroads conspired to fix fuel surcharges.

Washington, October 26, 2017: Crowell & Moring represented Novume Solutions Inc. (OTCQB: NVMM) in its acquisition of Global Technical Services Inc. and Global Contract Professionals Inc. (Global). The transaction closed on October 4.

Washington – October 19, 2017: Crowell & Moring LLP announced today the firm's partnership elected Philip T. Inglima, a member of the firm’s Management Board and partner in the firm’s White Collar & Regulatory Enforcement Group, to serve as the next chair of the firm. Washington – October 6, 2017: E. I. du Pont de Nemours and Company (DuPont) has prevailed in an antitrust price-fixing lawsuit alleging $176 million of damages brought by The Valspar Corporation and Valspar Sourcing, Inc. (collectively "Valspar"). On September 14, 2017, the U.S. Court of Appeals for the Third Circuit affirmed a district court decision that dismissed Valspar's claims that DuPont participated in a conspiracy to fix the price of titanium dioxide.

Washington – September 27, 2017: Crowell & Moring LLP represented Georgetown University in a power purchase agreement with Origis Energy USA to develop a 32.5-megawatt solar power system. The solar facility is expected to generate approximately 75,000 megawatt hours of power each year and provide 49 percent of Georgetown’s electricity load for campus operations located in Washington, D.C.

Washington, September 20, 2017: Crowell & Moring represented KeyStone Solutions Inc. in the merger of KeyStone and Brekford Traffic Safety, Inc. The merger resulted in the creation of a new publicly traded holding company, Novume Solutions Inc. (OTCQB: NVMM), controlled by KeyStone stockholders. The transaction closed on August 28.
