Our Health Care Group teams with our firm's Corporate Group to offer our health care clients a comprehensive array of corporate/transactional services. In combination, our lawyers have extensive experience in the negotiation, drafting, and establishment of health care relationships of every sort. We have worked with clients on the acquisition of hospitals and hospital companies, HMOs, pharmacies, and insurers; developed joint ventures between providers and insurers; handled complex managed care mergers; established accountable care organizations (ACOs); crafted health information technology data banks and licensing arrangements; and assisted in the financing of these and many other business arrangements. Our clients include national and regional managed care and hospital systems, pharmaceutical companies, e-business ventures, medical groups, trade and professional associations, and ambulatory surgery centers, as well as individuals.

We frequently provide our clients with counseling and guidance on corporate and governance matters. These issues arise both in the formation of new business entities and on an ongoing operational basis. Our ongoing business counseling practice affords our health care clients with high-quality advice on tax issues (including not-for-profit organizations), Sarbanes-Oxley, labor and employment matters, intellectual property protection, licensure and certification issues, etc. We also provide securities law counseling to health care companies, and have represented issuers in registering new equity and debt offerings with the Securities and Exchange Commission (SEC).
