Washington – January 10, 2022: Crowell & Moring represented the founders of Aerial Armor in the sale of the company to Dedrone Holdings Inc., a leader in smart airport security.
Phoenix-based Aerial Armor is a cutting-edge provider of drone detection services in the United States for sports stadiums, airports and law enforcement customers. The company is at the intersection of AI, UAV, and digital transformation. The transaction presented numerous complexities in tax, government contracting, employment, compensation, and benefits.
“We could not have been more pleased with the strategic advice from Crowell’s legal team in cementing the sale of our company to Dedrone Holdings,” said Matt Altman, CTO and co-founder of Aerial Armor. “They made it a seamless process every step of the way.”
Dedrone said the acquisition would enable the company to “deliver the best-in-class technology platform to meet airspace security needs of the future as demand for counterdrone protections continues to increase in the US and around the world.”
Based in Sterling, Va., Dedrone works across 40 countries and customers include four of the G-7 nation governments; nine U.S. federal agencies; more than 75 critical infrastructure sites; more than 20 airports; and 50 prisons worldwide. The company actively provides counter drone solutions for some of the most high-profile events around the world and works closely with more than 35 law enforcement agencies.
The Crowell team supporting the transaction included Steve McBrady, Peter Eyre, Lex Eley, Justin Lurie, Ryan Flynn, Eric Homsi, Andrew Bagley, Kristy Wrigley-Durer, Jana Del-Cerro, Vince Galluzzo, Paul Freeman, Michael Samuels, and Allison Skager.
