Crowell & Moring Represents NGEx Minerals as U.S. Deal Counsel in Precious Metals Spin-Out Transaction

Chicago – October 23, 2025: Crowell & Moring represented publicly traded NGEx Minerals Ltd. in a complex cross-border precious metals spin-out transaction.
By way of the transaction, NGEx spun out certain royalties on its Lunahuasi and Los Helados projects, pursuant to a Canadian statutory plan of arrangement. In connection with the deal, NGEx completed a C$175 million private placement, on which Crowell also advised.
Crowell’s multidisciplinary, cross-office team included members of the Corporate, Tax, and Benefits groups, among others.
