Overview

Elaine Taussig is a partner in Crowell & Moring’s Chicago office and a member of the firm’s Corporate Group. Elaine has extensive experience representing a broad array of clients—from startups and investors to public companies—in corporate and commercial transactions, public and private securities compliance and offerings, financings, mergers and acquisitions, and strategic relationships and joint ventures. She serves as a strategic advisor for her clients on complex commercial contracting matters and corporate governance issues. She also advises companies in a wide range of industries, including financial services, health care, technology, and SaaS enterprises. 

Elaine excels at quickly gaining a deep understanding of her clients’ businesses and needs and building long-term relationships with them. As a former general counsel to several companies, including print and digital media, energy, and health care technology corporations, Elaine offers a unique perspective from her experiences as both in-house and outside counsel and possesses an exceptional understanding of how to guide her clients practically through the issues they face.

Representative Matters

  • Sandstorm Gold Ltd. in its agreement to acquire Nomad Royalty Company Ltd. under a plan of arrangement in a transaction valued at approximately $590 million.
  • Orla Mining’s acquisition of Gold Standard in a transaction valued at $242 million.
  • At the market equity program for a NYSE publicly traded foreign private issuer and related registration statement and prospectus.
  • As in-house counsel of several companies, led multiple venture funded and strategic investor capital raising transactions, convertible and secured debt transactions and recapitalizations.
  • As in-house counsel, led the acquisitions and dispositions of multiple publications and portfolio companies.
  • Multiple bought deal financings for a variety of Canadian publicly-traded companies.
  • Covanta Holding Corporation in its $2.0 billion acquisition of American Ref-fuel Holdings Corp. and financing through a $400 million public rights offering to preserve NOLs.
  • Rights offering conducted by General Growth Properties, Inc. in connection with the $12.6 billion acquisition of The Rouse Company
