Washington – April 6, 2023: Crowell & Moring advised Rekor Systems, Inc. (Nasdaq: REKR), as it entered into a definitive agreement for the issuance and sale in a registered direct offering priced at-the-market under Nasdaq rules of an aggregate of 6,872,853 shares of its common stock and warrants to purchase up to 6,872,853 shares of common stock. The offering closed on March 27, 2023, resulting in up-front gross proceeds to Rekor of approximately $10 million. 

Washington – January 10, 2022: Crowell & Moring represented the founders of Aerial Armor in the sale of the company to Dedrone Holdings Inc., a leader in smart airport security.

On September 30, 2022, President Biden signed the SBIR and STTR Extension Act of 2022 (the Act), reauthorizing the Small Business Innovation Research (SBIR), Small Business Technology Transfer (STTR), and six pilot programs for three years, until September 30, 2025.  The Act includes new due diligence and reporting requirements, award restrictions, and clawback provisions related to national security risks—particularly regarding firms with ties to China, Russia, North Korea, and Iran—and increased minimum performance standards for multiple SBIR/STTR award winners.  The passage and signing of the Act averted a potential lapse of these programs, which were set to expire the day of the reauthorization.

The coronavirus pandemic (COVID-19) has had a significant impact on M&A activity globally. Amongst other things, the pandemic has given rise to issues of valuation and funding and caused certain possible buyers and sellers to defer ongoing transactions in order to focus on mitigating the effect of the virus on their business operations. Where parties nevertheless continue to pursue M&A transactions in the current climate, they are advised to consider the impact of COVID-19 on their contractual protections and exposure and on transaction logistics and timing. This note briefly considers certain key areas of relevance from a U.S. and U.K. standpoint.
