Charlesa Ceres, Associate General Counsel for Antitrust and Competition for United Technologies, Honored as Corporate Counsel of the Year

Washington – March 28, 2019: Crowell & Moring LLP is pleased to announce that two antitrust deals in which the firm served as counsel were named winners at Global Competition Review’s annual GCR Awards: The AT&T/Time Warner merger was named “Merger Control Matter of the Year: Americas,” and United Technologies’ (UTC) $30 billion acquisition of Rockwell Collins was named “Merger Control Matter of the Year: Asia-Pacific, Middle East, and Africa.” In addition, Charlesa Ceres, UTC’s associate general counsel for antitrust and competition, was named Corporate Counsel of the Year for her role advising UTC in the Rockwell Collins acquisition.

Crowell & Moring served as antitrust counsel at DOJ for longstanding client AT&T in its $85.4 billion purchase of Time Warner. After five weeks of testimony, Judge Richard Leon delivered a comprehensive ruling in June 2018 rejecting the government’s claims in their entirety and denying the Department of Justice’s request to block the merger. That decision was recently affirmed on appeal.

Crowell & Moring served as lead antitrust counsel for UTC in its acquisition of avionics supplier Rockwell Collins, two of the largest suppliers of aircraft components worldwide. The deal, which is reportedly the largest aerospace transaction in history, required approval from 12 U.S., EU, Asian, and Latin American antitrust authorities. The deal was eventually unconditionally cleared by the vast majority of the relevant authorities worldwide; in the EU, U.S., and China, the remedies imposed were limited. Ceres was honored for her role advising UTC in the acquisition, and handling the complex merger review processes in the multiple jurisdictions, including intensive remedy negotiations.

GCR editors selected the finalists in each category, and readers voted on the winners. The awards were presented at a ceremony on March 26 in Washington. The complete list of finalists can be viewed here.
