Washington, D.C. – August 21, 2015: GigOptix, Inc., a leading supplier of advanced semiconductor communications components for use in Cloud connectivity, data centers, and high-speed optical and wireless networks, announced the pricing of its underwritten public offering of an aggregate of 9,218,000 newly issued shares of common stock at a price of $1.70 per share. GigOptix expects to receive gross proceeds of $15.67 million, before deducting underwriting discounts and other estimated offering expenses. The underwriters have also been granted a 30-day option to purchase up to 1,425,000 shares of common stock to cover over-allotments, if any. In addition, certain officers and directors as selling stockholders sold 282,000 shares of previously issued shares of common stock in the underwritten public offering at a price of $1.70 per share. Subject to customary conditions, the offering is expected to close on August 26, 2015.

Washington, D.C. – November 4, 2014: Crowell & Moring, LLP represented client NRG Yield, Inc. in the negotiation of a definitive agreement to acquire the following assets from NRG Energy: Walnut Creek, Tapestry and Laredo Ridge for $480 million in total cash consideration, plus assumed project debt of $746 million excluding adjustments for working capital at close. The sale is subject to certain third party approvals and is expected to close this quarter. These assets will augment NRG Yield's portfolio with an additional 211 MW of wind generation and 500 MW of natural gas generation.

Washington, D.C. - April 23, 2013: Crowell & Moring LLP represented Pegasus Solutions, Inc., in the sale of its former division, Pegasus Financial Services (PFS) to H.I.G. Capital, LLC. Pegasus Solutions is the single largest processor of electronic hotel transactions, and PFS is the world’s largest processor of commissions paid by hotels to travel agencies. H.I.G. is a leading global private equity investment firm. The transaction closed on April 22, 2013.

Washington, D.C. – January 17, 2013: Crowell & Moring LLP is pleased to announce it has elected seven attorneys to the firm's partnership effective January 1, 2013.
