Competition Law Aspects of M&A Transactions: FAQs from In-House Counsel
Webinar | 06.17.21, 2:00 PM CEST - 4:00 PM CEST
In this webinar we will focus on everything in-house lawyers need to know about the competition law aspects of M&A transactions. We will follow the lifecycle of a deal and address the questions that must be dealt with at each stage of the process. We will consider issues that arise at the start of the negotiations, or during the due diligence process, for both notifiable and non-notifiable transactions. We will also discuss what types of transactions are subject to merger control, what impact a notification has on the process and the timing, and we will cover best practices for pre-closing competition compliance.
During the webinar we will look at some recent developments in Belgian and European merger control – for instance, involving transactions that fall below the EU or national filing thresholds but may still end up under review by the European Commission or the BCA.
We will also address the impact of Brexit on merger control, and the UK Competition and Markets Authority’s increasingly proactive stance, and we will take a look at how COVID-19 has affected M&A transactions and notifications to date.
Examples of frequently asked questions that we will address:
- When does a merger or acquisition need to be notified to a competition authority, and what about joint ventures?
- What impact does a notification have on the M&A process and the timing?
- How should the due diligence process be organized (data room set up, working with clean teams, content of the NDA, etc.)?
- What should be considered when drafting transaction documentation (timing, notification process, non-compete clauses, etc.)?
We look forward to an interactive webinar. If you have other specific questions that you would like us to address, please reach out in advance to our speakers, at tdemeese@crowell.com and mvannieuwenborgh@crowell.com, and we will make sure that your questions are addressed.

In 2025, the U.S. Government’s policy statements and Executive Orders have had far-reaching impacts for government contractors and grant recipients. Although terminations, stop work orders, and de-scopes have affected private companies, non-profits, and universities doing business across multiple agencies, the U.S. Government’s policies relating to the U.S. Agency for International Development (USAID) has caused particular confusion and uncertainty relating to performance, compliance, and contractual procedure. Key questions have included the potential impacts of official and less formal communications from the U.S. Government, procedural issues arising from the move of certain functions to the U.S. Department of State, and the effect of various pending litigations. As businesses and organizations plan for 2026, the importance of preserving their rights and maximizing potential recovery opportunities remains paramount.
