Overview

Although each phase of the economic cycle presents companies with unique challenges and opportunities, the need for access to capital is a business constant. Crowell & Moring offers companies and financial institutions sophisticated legal advice on borrowing and lending that is tailored to meet current market practice while setting the stage for immediate and long-term success.

Our lender clients include international, domestic, and regional financial institutions, including bank and non-bank lenders. Our Commercial Finance and Lending practice also acts federal- and state-chartered banks, investment banks, commercial finance companies, opportunity funds, hedge funds, investment groups, individual investors, alternative finance providers and boutique commercial lending businesses. We are known for our strength in the areas of asset-based lending (including equipment, inventory and receivables finance), factoring arrangements, healthcare, energy, hospitality, IP finance, DIP and acquisition finance. Our lawyers act for asset based lenders in the UK, Europe and US. In many cases, we have done so for decades and are well known as “go to lawyers” in the ABL sector.

Our borrower clients are active in a broad spectrum of industries and range from large, publicly traded and privately-held portfolio corporations to smaller closely-held and family-owned companies, to startup enterprises.

Our lawyers handle the negotiation, structuring, and documentation of commercial loans for financial institutions and corporate clients. Loans are often multi-lender syndicated secured credit facilities and are documented in the form of revolving loans, term loans, unitranche loans, first and second lien loans, and letter of credit facilities, the proceeds of which are most often used for working capital, asset acquisitions, dividend recapitalizations, or leveraged buyout acquisitions. In many instances, loans have cross-border and multi-currency components. Our lawyers also advise on syndications, secondary market transactions, distressed debt trading, financial book sales and restructurings.

Our practice and individual lawyers have been recognized for their outstanding work by legal, industry, and business publications such as Business Money, Legal 500, which recommends Crowell & Moring as a top UK law firm in asset based lending.
