Overview
Caroline C. Stoker is a counsel in the firm's Government Contracts Group, where she advises defense contractors on a broad range of cost and pricing, Cost Accounting Standards (CAS), and Truthful Cost or Pricing Data (TINA) compliance matters. She has successfully resolved significant DCAA audit findings, False Claims Act (FCA) allegations, and internal investigations on behalf of clients across major defense programs. She has represented contractors before the Armed Services Board of Contract Appeals, the U.S. Court of Federal Claims, and in GAO bid protests. Caroline also assists clients with government contracts due diligence in connection with mergers and acquisitions.

Representative Matters
- Represented government contractor in litigation before U.S. Court of Federal Claims and U.S. Court of Appeals for the Federal Circuit in matter where government alleged noncompliant CAS 420 practice
- Successfully represented government contractor in DOJ investigation and related FCA case regarding alleged violations of TINA where DOJ declined to intervene in case, and Court dismissed relator’s fraud allegations
- Represented client in response to audit findings alleged CAS 410 violations, ranging in value of $10 million to $50 million, issued to five different CAS segments across defense contractor’s business; resulted in determination from DCAA that company’s 25-year practice was compliant
- Advised client on CAS 412 and CAS 413 issues and messaging related to its defined benefit pension plans following spin of its government contracts business
- Represented government contractor in dispute between major defense contractors involving $50 million breach of contract and breach of teaming agreement claims over sale of defense articles to a foreign government
- Conducted due diligence to identify potential roadblocks in acquisition of leading IT, engineering, and professional & technical sales company
- Represented a government contractor in dispute before the Armed Services Board of Contract Appeals regarding termination settlement costs
