Crowell & Moring Represents Kanders & Company in Acquisition of Ginkgo Bioworks’ Biosecurity Business

May 22, 2026: A Crowell & Moring team represented Kanders & Company in a complex carveout transaction in which Kanders acquired the biosecurity business of publicly traded Ginkgo Bioworks. The resulting company, Perimeter Systems, has launched as the world’s first integrated biosecurity infrastructure platform, designed to transform biological signals into real-time intelligence and accelerate decisive response. At closing, Perimeter secured $60 million in growth capital, led by Kanders in partnership with SCS Financial, Goldcrest Capital, Four Cities Capital, and the Safe Artificial Intelligence Fund (SAIF).

Prohibiting Adversarial Patents Act of 2026 (H.R. 9142): What the Drone Industry Needs to Know

On June 4, 2026, Rep. Scott Fitzgerald (R-WI-5) introduced a bill that would limit the ability of people and entities seen as threats to U.S. national security to obtain and enforce patents. If enacted, the Prohibiting Adversarial Patents Act of 2026 (H.R. 9142) would leverage use of patent law as a national security tool, with consequences for companies operating in technology-intensive sectors, including drones, telecommunications, semiconductors, artificial intelligence, and advanced manufacturing. The proposed legislation, currently under review by the U.S. House Judiciary Committee, is particularly focused on persons and entities with connections to the People’s Republic of China.

More Than Math: How Desjardins Recognizes AI Innovations as Patent-Eligible Technology

On November 4, 2025, the USPTO in Ex parte Desjardins designated as precedential an earlier Appeals Review Panel (ARP) decision overruling the Patent Trial and Appeal Board (Board), instead holding that claims directed to training a machine learning model are patent-eligible under 35 U.S.C. § 101 when they integrate a mathematical concept into a practical application that improves how the model operates. That precedential designation represents a material shift in legal precedent in the § 101 arena post-Alice, and it has already driven updates to the MPEP and examiner practice. As a result, Desjardins signals an adjustment in practice in favor of AI and software eligibility at the USPTO.
