Overview

Timothy E. Lin is a partner in the New York office of Crowell & Moring. His practice focuses on derivatives, lending, and distressed debt transactions. He regularly represents investment banks, hedge funds, private equity funds, and other financial institutions in a broad spectrum of corporate transactions.

He has advised investment banks in connection with interest rate, foreign currency, and commodity hedging transactions executed in connection with syndicated financings, direct lending transactions, unitranche facilities, bond issuances, real estate financings, project financings, and warehouse facilities, and related collateral and intercreditor arrangements.

Tim has also counseled investment banks and buy-side funds in connection with the purchase and sale of distressed and high-yield assets in the U.S. and abroad, including bankruptcy claims, reorganization securities and interests in liquidating trusts across a range of sectors, including financial institutions, airlines, and retail, and arising from a variety of underlying contracts, including derivatives, and prime brokerage agreements.

He has experience representing administrative agents and lenders in connection with debt financings, including senior secured, first-lien/second-lien, rescue and unsecured financings, in a range of industries, including manufacturing, telecommunications, aviation, automotive, health services, professional services, and technology.

Prior to entering private practice, he was a law clerk to the Honorable Milton Pollack of the U.S. District Court for the Southern District of New York. While in law school, he was a Harlan Fiske Stone Scholar and the articles editor for the Columbia Law Review.

Prior to joining the firm, he was a partner with Kibbe & Orbe LLP.

Representative Matters

  • Advised investment banks on the negotiation of ISDA Master Agreements and related collateral support documentation.
  • Advised investment banks, hedge funds, and CDOs on secondary market purchases of loans and notes, including diligence of governing debt documentation and compliance with investment criteria.
  • Advised an investment bank on the structuring and documentation of the syndication of over $1 billion of its proprietary claims arising from terminated derivatives contracts in the Lehman Brothers bankruptcy proceedings.
  • Advised an investment bank on the creation and implementation of a credit support program to mitigate counterparty credit risk in connection with secondary market trading with master funds and SPVs.
  • Advised administrative agent and lenders in connection with a term loan facility to a helicopter manufacturer.
  • Advised administrative agent and lenders in connection with a term loan facility to a satellite imaging company.
  • Advised administrative agent and lenders in connection with a second-lien term facility to a small appliance manufacturer.
