UK Corporate & M&A

Crowell & Moring’s London-based Corporate Group focuses on transactional and advisory work across a wide range of sectors. Our team supports multinational and domestic public companies, mid-sized and emerging businesses, private equity and other investment firms, and high net-worth individuals. We also routinely advise firm clients based in the US, many of whom seek our UK advice in relation to their business activities.

How We Can Help

Our corporate and M&A practice in London focuses primarily on mid-market deals, to which we bring Magic Circle quality and experience while employing deal-appropriate fee arrangements. This approach provides clients with premier corporate capabilities coupled with predictability that ensures results are delivered on time and within budget. We offer guidance on all aspects of M&A transactions, including public M&A, share and asset acquisitions, divestitures, and corporate reorganizations. We also advise clients on joint ventures, equity financings, securities offerings, compliance issues, and establishing operations in the UK, as well as other corporate matters. The team routinely advises on cross-border transactions, with particular links to the US, Canada, continental Europe, and the Middle East.

Corporate Capabilities in London

Partner Simon Evers leads the Corporate Group in our London office. The team comprises transactional lawyers who have all trained and worked with some of the world’s leading corporate law firms, advising on large and extremely complex deals. We bring this sophistication and experience to bear on every matter on which the group advises. We pride ourselves on operating as a lean team, which allows us to be nimble in how we deploy to best serve corporations, firms, and individuals who turn to us for advice.

Our corporate lawyers are experienced across a broad range of industry sectors, including financial services, healthcare, logistics, shipping, and technology. We understand how foreign markets work, how to navigate regulatory agencies and other governmental authorities, and how to engage with stakeholders so the right deal is presented and brought to closing swiftly. Our comprehensive transaction services include:

  • Transaction planning and structuring, including tax structuring and antitrust analysis.
  • Conducting legal due diligence.
  • Preparation and negotiation of transaction documentation.
  • Preparing and reviewing disclosure letters and schedules.
  • Securing antitrust and other governmental approvals & clearances.
  • Post-transaction integration assistance.

By ensuring each client’s objectives are understood from the outset, Simon and the team are able to anticipate issues and form genuine partnerships with clients by helping them structure, document, negotiate, and close transactions. As part of a true full-service firm, the London Corporate Group works closely with our Crowell & Moring colleagues across numerous practice areas—as well as select lawyers outside the firm—to ensure clients receive the best possible advice.
