Judy Choi is a counsel in the firm's Government Contracts Group. Judy counsels clients on a wide range of compliance and transactional matters, including ethics and compliance programs; due diligence in the transactional context; commercial item contracting; internal investigations; federal and state contract negotiation and administration; GSA Schedule contracting; and mandatory disclosure and other reporting requirements. In addition, Judy advises clients on subcontract matters, including prime/sub disputes, and drafting and negotiating subcontracts, teaming agreements, and related agreements.

Some of Judy’s representative transactional matters include performing the government contracts diligence for:

  • Kforce Government Solutions, in connection with the $115 million sale to ManTech International Corporation.
  • Madison Dearborn Partners and CoVant Management, in connection with the sale of LGS Innovations, a leading provider of global networking products and services, to CACI.
  • Perspecta, involving separation of the U.S. Public Sector business from DXC and combination with Vencore, Inc. and KeyPoint Government Solutions. 
  • Huntington Ingalls Industries, in its acquisition of Fulcrum IT Services LLC.
  • Valiant Integrated Services, in its acquisition of Cubic Global Defense Services.
  • Accenture Federal Services, in its acquisitions of Defense Point Security LLC, which provides cybersecurity services and solutions for government and commercial customers; and Endgame Inc., a cyber defense business.

Representative matters for government contracts counseling and investigations include:

  • Conduct on-site training for companies on a range of issues, including ethics and compliance issues and basics of government contracting.
  • Assist contractors in developing and implementing ethics and compliance programs; or conducting compliance reviews.
  • Conduct investigations and counsel clients on compliance with GSA Schedule compliance issues.
  • Assist contractors in drafting and settling voluntary and mandatory disclosures.
  • Assist contractors in conducting internal investigations into various compliance issues (e.g., potential defective pricing, non-compliance with time charging, labor category requirements).
  • Assist contractors in asserting commercial item status for their products and services.
  • Assist contractors in reviewing and negotiating contracts with federal and state agencies, including leading negotiations with a state agency for a $400 million contract.

Judy received her J.D. from USC School of Law. During law school, Judy was an editor of the Southern California Law Review and an extern for the Justice H. Walter Croskey, California Court of Appeal, and the Honorable Stephen V. Wilson, U.S. District Court for the Central District of California. She received her B.A. in political science from Barnard College and an M.A. in classics from the University of Chicago.
