Strategic transactions and business practice choices need strategic antitrust counsel — and Ryan Tisch delivers. Boards of directors, CEOs and key business stakeholders depend on Ryan's help to navigate government regulation of competition issues around the world.

He is known for securing approvals for large mergers facing review in multiple jurisdictions, and for advising clients on critical operating decisions. Ryan has helped clients gain approvals for some of the largest mergers in the communications, manufacturing, technology, and food and beverage industries.

Ryan practices extensively before the U.S. Department of Justice and Federal Trade Commission and has managed substantive merger review matters before international authorities, including the U.K. Competition and Markets Authority, the South African Competition Tribunal, the Australian Competition and Consumer Commission, and the Chinese State Administration for Market Regulation. Ryan has overseen numerous merger matters from auction process to final, successful resolution, including by way of a trial.

In addition to his deal work, Ryan helps clients mitigate risk on a day-to-day basis. He advises on complex operational issues, including joint venture agreements, trade association activities, standard setting, and data exchange.  Ryan has particular experience navigating clients’ vertical relationships and distribution systems, managing antitrust issues associated with resale price maintenance, price discrimination, and loyalty incentives.

As digital transformation exposes traditional economy businesses to new economy competition issues, clients seek Ryan's counsel on exposure based on their evolving business platforms and go-to-market strategies.

  • Representing AT&T in the regulatory review of its $67 billion acquisition of DirecTV.
  • Representing AT&T in connection with the company’s $108.7 billion acquisition of Time Warner, the largest telecommunications transaction in history.
  • Representing Amazon with respect in securing dismissal of monopolization claims in the e-reader and e-books industry.
  • Representing du Pont de Nemours, Inc. in more than 20 transactions involving international merger control notification obligations.
  • Representing E.I. du Pont de Nemours & Co. in securing antitrust approval of its divestiture of its Neoprene polychloroprene business.
  • Representing E.I. du Pont de Nemours & Co. and its subsidiary Pioneer Hi-Bred in their acquisition of Pannar Seed, which was ultimately approved by the South African Competition Appeal Court and the Supreme Court of South Africa.
  • Advising an international technology-based materials company with an antitrust investigation involving the United States and Asia.
  • Representing an international consumer packaging provider on its acquisition of a can packaging company in front of U.K.’s Competition and Markets Authority (CMA).
  • Representing numerous clients on sensitive complex antitrust matters related to lawful collaborations with competitors during the COVID-19 pandemic.
  • Representing Flowers Foods in its acquisition of Wonder Bread and other Hostess bread brands.
  • Representing the Grocery Manufacturers Association and several of its constituent companies with respect to antitrust and association issues.
  • Representing Airlines For America with respect to antitrust and association issues.
  • Counseling a number of major food and CPG manufacturers on issues related to regulatory M&A review, grocery sales, distribution, pricing, and antitrust issues.
  • Counseling a major Asian manufacturer of display panels with respect to pricing, distribution, and antitrust risk management.
  • Representing clients in the manufacturing and transportation sectors during multi-year price-fixing investigations by US and European officials.
  • Representing numerous clients in relation to investigations by state antitrust authorities for both horizontal and vertical conduct issues.
  • Conducting antitrust compliance auditing and training for clients in the US and Europe, including extensive advice on risk mitigation with respect to trade association activities, standard setting, data exchanges, and vertical issues, including resale price maintenance, price discrimination, and distribution issues.
  • Representing a global airline in connection with joint venture agreements requiring antitrust and other regulatory approvals in the United States, as well as various jurisdictions in Central and South America.
  • Counseling a variety of clients on antitrust compliance related to the structuring of complex distribution systems.
