Renée Delphin-Rodriguez is a partner in Crowell & Moring’s Los Angeles office and a member of its Corporate and Health Care groups. Her practice focuses on mergers and acquisitions, joint ventures, equity and debt financing, corporate governance, general commercial transactions, and complex commercial agreements (including outsourcing agreements and service agreements). Renée’s clients span a wide range of industries (including financial services and technology), with a particular emphasis on companies within the health care industry.

Renée has particular experience advising on the creation and funding of special purpose acquisition companies (SPACs), as well as advising on the use of SPACs as a means of taking companies public. She also advises large corporations on a variety of significant M&A and other strategic corporate transactions. She regularly assists public and private corporations on corporate governance, compliance, and general corporate matters.

Renée has a unique blend of law firm and in-house experience. She served as assistant general counsel to a Fortune 500 health care company and general counsel to a health care management services organization. Renée’s broad understanding of managed care and value-based payment arrangements, combined with her corporate experience, allows her to effectively guide clients through complex transactions and provide strategic advice in a heavily regulated industry.

Representative Matters:

  • Represented GigCapital2, Inc. and GigCapital3, Inc. (SPACS) in their initial public offerings.
  • Represented GigCapital, Inc. (SPAC) in its business combination with Kaleyra S.p.A.                                          
  • Represented 99 Cents Only Stores in its going-private transaction.
  • Represented Air Lease Corporation in its initial public offering and senior unsecured note offerings.
  • Represented Berkshire Hathaway in several public company acquisitions, including its acquisition of Wesco Financial and Oriental Trading Company.
  • Represented a private equity firm in connection with the acquisition of a portfolio company.
  • Represented a financial institution in connection with a registered offering of common stock and a private placement of preferred stock.
  • Represented HealthCare Partners in its sale to DaVita.
  • Represented a multi-state medical group in connection with the expansion of its network into new geographies via joint ventures with health plans and hospital systems and its acquisition of other medical groups.
  • Represented a multi-state medical group in negotiating value-based and risk-based arrangements with health plans.
  • Represented a large independent physician association in its acquisition of another independent physician association.
  • Represented a network of ambulatory surgery centers in a wide range of matters including its commercial arrangements with health plans, providers and third-party vendors.
  • Advised a multi-state medical group with respect to corporate practice of medicine restrictions and other regulatory matters.
  • Advised a California restricted Knox-Keene health care service plan with respect to licensing and regulatory issues.

Renée was in the 2015 Fellows Program of the Leadership Council on Legal Diversity (LCLD). She is active in Los Angeles’ civic community. She sits on the board of Planned Parenthood Los Angeles and Homeboy Industries.

Renée was a law clerk to the Honorable Milan Smith, Jr. at the U.S. Court of Appeals for the Ninth Circuit.
