Masha Smith is a senior counsel in the Corporate Group at Crowell & Moring’s Washington, D.C office. Her practice primarily involves complex joint ventures, mergers and acquisitions, consortiums and strategic alliances, private equity investments, and general corporate matters. Her recent experience has been primarily in the financial services and FinTech industries, but she has also represented clients in a wide variety of industries, including information technology, energy, mining, oil and gas, logistics, and retail and consumer products. Ms. Smith also drafts and negotiates complex commercial contracts, including master services agreements, user agreements, and intellectual property licenses, and has significant experience in capital markets and financing transactions.

Ms. Smith began her legal career at Cleary Gottlieb, where she was a corporate and transactional attorney for nine years in the Washington and Moscow offices.

Ms. Smith is a native Russian speaker and has significant international experience, having represented clients in transactions in Europe, Asia and Africa.

Representative Transactions that Ms. Smith has worked on include:

  • Represented R3 and a consortium of global financial institutions in their initial collaborative exploration of distributed ledger and blockchain technology, followed by representation of R3 in the largest ever investment in distributed ledger technology from 44 global institutions, including SBI Group, Bank of America Merrill Lynch, HSBC, Intel, Temasek, ING, Banco Bradesco, Itaú Unibanco, Natixis, Barclays, UBS and Wells Fargo
  • Represented TruMid Financial LLC in the launch of a new alternative trading system (ATS).
  • Represented Ricoh in its acquisition of a US technology company.
  • Represented OpenText Corporation, a NASDAQ and Toronto Stock Exchange listed provider of information technology, in connection with its acquisition of Informative Graphics Corp.
  • Represented eight leading commercial and investment banks in their investment in a data exchange, and accompanying restructuring regarding privacy and third party technology service provider arrangements.
  • Represented Credit Suisse in a joint venture with Tower Research to create Wake USA for the fixed-income trading space.
  • Represented ICAP in its investment in Enso Financial Management LLP, a provider of innovative portfolio reporting and data analytics services for hedge funds and asset managers.
  • Represented ICAP in its investment in OpenGamma, Inc.
  • Represented ICAP and its wholly-owned subsidiary Traiana in the sale of an equity stake in Traiana to Bank of America Merrill Lynch, Barclays, Citi, Deutsche Bank, J.P. Morgan, Nomura, and Royal Bank of Scotland.
  • Represented Bank of America Merrill Lynch, Citi, Commerzbank, Goldman Sachs, HSBC, and J.P. Morgan as liquidity providers of FXSpotStream LLC, and the equity holders in creating LiquidityMatch LLC (the parent holding company of FXSpotStream), a majority of which equity holders are also liquidity providers. FXSpotStream provides a multibank spot FX price aggregation service.
  • Represented a technology company in numerous dispositions of non-core business lines.
  • Represented a diamond mining company in international joint ventures in Angola and Sierra Leone.

Ms. Smith received a J.D. degree, cum laude, from Cornell Law School in 2000 and a B.A. degree with highest honors from Marlboro College in 1996. She is a member of the District of Columbia and Massachusetts bars.
