Luke A. Smith is an associate in the New York office of Crowell & Moring. He focuses his practice on advising financial institutions, as well as other lenders and borrowers, in commercial lending and financing transactions.
Luke counsels clients on a range of secured and unsecured financial transactions, including senior and subordinated debt financings, project financings, fund financings, structured financings, and physical and financial commodity hedges.
He also has extensive experience reviewing and analyzing the loan documentation of both investment grade and non-investment grade borrowers across a variety of industrial sectors, and advises clients as to whether the legal provisions therein comply with their respective internal policies and market standards generally.
Prior to joining the firm, he was an attorney with Kibbe & Orbe LLP.

- Represented a hedge fund and its respective feeder funds organized in U.S. and foreign jurisdictions in a subscription credit facility from a commercial bank.
- Represented an asset management firm in connection with a rescue bridge financing with a total principal amount of over $500 million.
- Represented a private equity fund in a secured revolving loan agreement to a restaurant franchisee.
- Represented a global investment management firm in various unsecured litigation financing facilities, including to a cybersecurity solutions provider.
- Represented a hedge fund, as borrower, in a management fee revolving credit facility with a commercial bank.
- Represented an asset management fund and their respective feeder funds organized in U.S. and foreign jurisdictions in subscription credit facilities totaling over $180 million from a commercial bank.
- Represented a global investment firm in connection with a compound restructuring of a multi-tranche credit facility for an international chain of home decor shops.
- Represented a commercial bank as lender and agent in connection with a $100 million risk retention lending facility to a newly formed special purpose vehicle of an originator of loans as its sponsor.
