Danielle Winston is an associate in Crowell & Moring’s Washington, D.C. office and a member of the firm’s Corporate Group. Danielle’s practice focuses on mergers and acquisitions, and representation of both accelerator programs and emerging companies. Danielle has experience with transactions in various industries, including health care, packaging, cybersecurity, and software services.

Danielle acts as a trusted strategic advisor and problem solver advising clients on sensitive and crucial strategic matters. Danielle routinely serves as outside general counsel to businesses, assisting with the structure and negotiation of M&A transactions and joint ventures, as well as counseling on and implementing strategies for risk management, fundraising, and corporate governance issues.

Danielle also assists the firm’s White Collar & Regulatory Enforcement Group, in counseling and representing corporate and individual clients in responding to government investigations, conducting internal investigations, preparing clients for government interviews, and responding to government regulatory enforcement activity.

Representative Matters

  • Advised TT Electronics PLC in connection with the acquisition of a government contracting business located in Covina, California producing power electronics for aerospace and defense customers.
  • Advised ST Engineering Hackney, Inc. in a sale of assets including prototype vehicles and related designs, tooling, parts, and intellectual property in connection with the United States Postal Service procurement of prototypes for a next generation postal delivery vehicle to Workhorse Group, Inc.
  • Advised Paladin Healthcare Capital, a Los Angeles-based private equity firm, in the purchase of Hahnemann University Hospital and St. Christopher’s Hospital for Children in Philadelphia from Tenet Healthcare Corporation for $170 million, as well as affiliated physician group practices and other related healthcare entities.
  • Advised the Virginia Center for Innovative Technology in connection with the ongoing operation of MACH37™, America's premier market-centric cybersecurity accelerator. The Accelerator is designed to facilitate the creation of the next generation of cybersecurity product companies through an intensive 90-day program created to launch cyber startups. MACH37™'s unique program design places heavy emphasis on the validation of product ideas and the development of relationships that produce an initial customer base and investment capital.

Danielle also maintains an active pro bono practice.  In 2019, she helped secure asylum for an individual that suffered religious persecution at the hands of the Angolan government.  Danielle prevailed before the Immigration Judge, , and successfully defended her client in an appeal by the Department of Homeland Security, all while communicating with her client solely in French. Danielle currently represents a client seeking asylum in the U.S. after fleeing persecution based on the client’s sexual orientation.

Danielle received her J.D. from Georgetown University Law School, where she served as an executive editor on the American Criminal Law Review.  She also participated in the Georgetown Criminal Justice Clinic as a student attorney.

Prior to seeking a law degree and while in law school, Danielle worked at the U.S. Attorney’s Office for the District of Columbia, supporting Assistant U.S. Attorneys and detectives in criminal investigations and litigation in the Homicide and Sex Offense and Domestic Violence Sections.
