Anoud Abu Odeh advises domestic and international clients on corporate and commercial law matters, with a focus on acquisitions, joint ventures and consortiums, company establishment and dissolution, corporate governance, franchising arrangements, and service agreements within a wide range of industries including commercial and residential real estate, project management and development, leisure and hospitality, retail, food and beverage, sports, and entertainment. Recently, she has also worked closely with local small and medium-sized enterprises and start-ups operating in the digital sector by providing counseling on establishment, governance and operational documents.

Anoud’s practice also extends to construction and engineering projects, with experience providing advice to contractors and subcontractors in the oil and gas industry relating to major upstream projects. She assists with advising clients on bid submissions for major government contracts, and has been heavily involved in negotiations between bidding partners relating to the structuring of their consortium.

Anoud has also gained significant experience in international dispute resolution, having previously been involved in high-value commercial and construction disputes before arbitral tribunals, Qatari local courts, and U.S. federal court.

Representative Matters

  • Assisting with the representation of a government-owned entity on a multitier cross-border corporate transaction involving the acquisition of a mixed-use project development in the Levant valued at USD $310 million.
  • Advising a quasi-governmental body on the restructuring of its subsidiary, focusing on key legal issues related to the transfer of its shares and complex legal questions arising under Qatari law relating to employee pensions and redundancies.
  • Advising a local digital start-up on issues related to structuring, corporate governance and compliance, and drafting core company documents including services agreements and e-commerce terms and conditions.
  • Assisting a local client with the establishment and operation of an international fitness franchise in a number of jurisdictions in the Middle East and Europe; including providing legal counseling in relation to the franchise agreement, assisting with structuring and establishment in each jurisdiction, drafting shareholders’ agreements and additional ancillary documents relevant to the transaction (LoIs, MoUs with investors in each location).
  • Providing on-site legal support to two Qatari public shareholding companies operating in project and real estate development, residential and commercial property management and infrastructure services, both domestically and internationally.
  • Assisting a quasi-governmental entity in Qatar with the procurement of a state-of-the-art hub airport located in central Africa and valued in excess of USD $1billion, which the client will build, own, and operate as majority shareholder before handing the asset back after the concession period ends, including: reviewing and revising the EPC subcontract; consultancy services agreements with third party vendors; and participating in weekly team calls with various experts.
  • Assisting with advising a Qatari real estate developer on its bids for PPP projects launched by the Qatari government: developing a risk analysis and drafting legal clarifications to bid submissions in relation to PPP agreements and other project and tender documentation.
  • Providing advice to one of Qatar’s leading EPIC contractors in relation to domestic and regional upstream projects: drafting and reviewing pre-bid agreements, consortium agreements and unincorporated joint venture agreements; leading negotiations with consortium and joint venture partners; reviewing tender documentation; providing general contentious and non-contentious advice.
  • Providing labor and employment advice in relation to a wide range of issues arising under Qatari law and the QFC law to private companies and government-owned entities.
  • Assisting with the representation of a Qatari bank in a dispute involving claims brought by a U.S. journalist kidnapped by an affiliate group of “Al-Qaeda” before a U.S. federal court in relation to allegations of terrorism financing (motion for summary dismissal granted).
  • Representing and advising a Qatari subcontractor in a multijurisdictional dispute involving prosecuting claims before a Qatar court and defending claims before ICC arbitration and U.S. federal court (motion to dismiss granted) in relation to a construction project at the U.S. Air Base in Qatar.
  • Assisting with securing interim relief in ICC emergency arbitration in relation to a subcontractor’s payment guarantee and performance bond.
