Energy Transactions: M&A

  • NRG Yield in the acquisition of a 550 MW gas-fired facility and two 20 MW solar facilities in California from NRG Energy, Inc. for $349 million cash plus assumed debt of $657 million.
  • Competitive Power Ventures in the sale of CPV Wind Ventures, LLC to Iberdrola Renewable Energies USA, Ltd.
  • Constellation Energy Commodities Group in connection with its acquisition of the energy trading operations of Progress Energy.
  • CPV Renewable Energy Company in connection with the sale of its Cimarron II 131.1 MW wind-powered electrical generation facility in Gray County, Kansas.
  • A developer in the acquisition of a majority interest in a 55-MW biomass plant in the Southeastern United States, including the renegotiation of the PPA and the construction contract.
  • Duke Energy North America in the sale of all membership interests in Duke Energy Control Area Services, LLC to Constellation Energy Commodities Group.
  • GFI Energy Ventures in connection with the purchase of a majority stake in Trans-Elect, Inc., an electricity transmission holding company.
  • Loews Corporation in the acquisition of Gulf South Pipeline Company, LP and Texas Gas Transmission Corp.
  • Poseidon Water in connection with its sale of a controlling interest in 5 wastewater treatment projects in Mexico to affiliates of Mitsui & Co. Ltd.


Energy Transactions: Project Development

  • Competitive Power Ventures in advising the company on its proposed 640 MW natural gas fired project in Charles County, Maryland.
  • Constellation NewEnergy in connection with the acquisition, development, and $100 million project financing of a 30 MW solar generating facility in California.
  • CPV Renewable Energy Company and various wind generation subsidiaries in connection with all aspects of their wind energy development program.
  • An energy services company in developing a model solar power purchase agreement (PPA) and its use in numerous distributed solar installations, as well as that same company in the acquisition of solar installations under development.
  • Invenergy in connection with the development of wind and gas-fired power projects and related interconnection arrangements and rate and exempt wholesale generator (EWG) filings.
  • Keenan Development in connection with the development and expansion of a central utility plant to provide steam and power conditioning services for the National Interagency Biodefense Campus at Fort Detrick, Maryland.
  • Poseidon Water in connection with the development and financing of a 50 million gallon-per-day desalination project in Carlsbad, California.
  • Texas Wind Power/Cielo Windpower in the development, financing, and sale to Shell of the 80 MW White Deer wind energy project in West Texas.


Energy Transactions: Financing

  • Competitive Power Ventures Holdings in connection with the closing of a $300 million funding and development agreement with Warburg Pincus to support the development of new natural gas power generation projects in the United States and Canada.
  • Constellation NewEnergy in connection with the acquisition, development, and $100 million project financing of a 30 MW solar generating facility in California.
  • A major independent power developer in a $205 million refinancing of a 307 MW gas-fired generating facility near Tampa, Florida.
  • A major independent power developer in a Term B back leverage refinancing for a portfolio of three gas-fired generating facilities with aggregate output of 890 MW.
  • Macquarie Bank in its purchase of approximately $75 million aggregate principal amount of privately placed project revenue bonds to finance a 100 MW wind-powered electrical generation facility project in New Mexico.
  • NaturEner USA the developer of a 189 MW wind project in Montana in connection with a tax equity investment made in the wind project by San Diego Gas & Electric Company.
  • Poseidon Water in connection with the development and financing of a 50 million gallon-per-day desalination project in Carlsbad, California. The financing transaction included $755 million of investment grade tax-exempt bonds and $167 million of private equity. The project was named a “Deal of the Year” by Project Finance magazine.
  • Trident Global Water Partners in connection with a dual-currency (US$38 million, JP¥3.3 billion) refinancing of a portfolio of Mexican wastewater treatment projects (named a “Deal of the Year” by Project Finance magazine).


Energy Transactions: Energy Purchases & Sales: Other Offtake Agreements

  • Constellation Energy Commodities Group in the negotiation of numerous power purchase, tolling, and similar agreements for gas, solar, and wind electric generating facilities.
  • Competitive Power Ventures in connection with power sales from its 200 MW wind-powered electrical generation facility in Kansas.
  • An energy services company in developing a model solar power purchase agreement (PPA) and its use in numerous distributed solar installations.
  • An energy services company in the installation of several cogeneration/CHP projects and the negotiation of energy services agreements with customers.
  • Mahoning Creek Hydroelectric Company, LLC in the negotiation of a PPA for the sale of the output of a hydroelectric facility.
  • Poseidon Water in connection with a lease and service agreement for wastewater treatment services with the City of Cranston, Rhode Island.
  • Poseidon Water in connection with a water purchase agreement with the San Diego County Water Authority.
  • Two major universities in the negotiation of a PPA to purchase the output of a 45 MW solar facility


Energy Transactions: Construction & Operating Agreements

  • BOTAS (petroleum pipeline agency of the Republic of Turkey) as EPC contractor in negotiations with a consortium of petroleum companies and states for the construction of a pipeline connecting Caspian Basin production to the Mediterranean Sea.
  • Columbia Energy Group in turbine purchases from General Electric Company for multiple projects and an EPC contract with AEP ProServ.
  • Competitive Power Ventures in the negotiation of a long-term services agreement with General Electric Company for 250 MW of power generation facilities.
  • Competitive Power Ventures in the negotiation of numerous EPC and equipment supply agreements for wind generation facilities.
  • A large international construction contractor in connection with the development of a standard form engineering, procurement and construction (EPC) contract for wind generating projects.
  • Constellation NewEnergy in EPC contracts with various contractors for 50 MW of solar generating facilities.
  • Keenan Development with respect to EPC and operation and maintenance (O&M) agreements with Chevron for a central utility plant at the National Interagency Biodefense Campus at Fort Detrick in Frederick, Maryland.
  • KeySpan Corporation in contract structuring for equipment purchases.
  • Orange County Water District in connection with a construction and operating agreement for the District’s Groundwater Replenishment Project.
  • Poseidon Water in the negotiation of EPC and O&M agreements for the Carlsbad Desalination Project.
  • Tessera Solar North America in connection with the drafting and negotiation of multiple EPC contracts for Tessera’s proposed utility-scale solar facilities.


Energy Transactions: Ownership Arrangements

  • BioFuel Solutions, an ethanol project development company, in connection with development financing and ownership and control arrangements.
  • Competitive Power Ventures in connection with the closing of a funding and development agreement with ArcLight Capital Partners to support the development of wind generation projects in select markets.
  • Competitive Power Ventures in connection with various joint development and ownership arrangements with General Electric for thermal and wind generation projects.
  • Poseidon Water in connection with joint development and funding arrangements with a private equity fund for the development of desalination facilities.
  • Warburg Pincus in connection with its equity investments in three separate start-up companies, Newport Generation Ventures and Competitive Power Ventures, formed to pursue development of power generation projects.
  • Warburg Pincus as counsel to venture capital fund in the organization and funding of a company organized to develop distributed generation projects.
