Lawyers at Crowell & Moring have extensive experience representing fund and dealer clients in connection with complex structured transactions. We regularly advise on a range of structured products, derivatives and secured financings collateralized by receivables and other assets. Bringing an interdisciplinary approach to assignments, the team is able to advise on all aspects of a transaction, including related regulatory and tax issues. Most recently, we have been actively involved in solar-related financings across several transactions.

We are able to offer seamless service covering the entire lifecycle of a transaction from the initial structuring phase, transactional representation, consideration of ongoing operational issues and post-transaction document reviews, restructurings and workouts. The firm can provide regulatory and compliance expertise in connection with drafting policies and procedures tailored for complex transactions, and we are often called upon to assist with policy implementation issues.

Our experience includes:

  • Representation of counterparties in connection with total return swaps, credit default swaps, hedging transactions and other synthetic structures.
  • Structuring and negotiation of warehouse and repurchase agreement structures for syndicated loans, consumer loans, mortgages and other assets.
  • Structuring and negotiation of multiple loan facilities collateralized by solar renewable energy certificates (SRECs) and related assets.
  • Structuring and negotiation of secured loans backed by a variety of collateral types, including business franchise license agreements, PACE bonds and various receivables.
  • Structuring and negotiation of transaction documentation governing the purchase and sale of claims related to terminated derivatives transactions.
  • Advising on bond repackaging transactions, credit, interest rate and FX-linked notes and principal-protected note structures.

  • Negotiation and evaluation of hedge transactions and structures.
  • Regulatory advice and reviews in relation to securities laws, trading restrictions and Dodd-Frank issues.
