Real estate can be a company's most significant asset — and its greatest liability. This is true even for businesses for which real estate is not a primary focus or source of revenue. This tension between asset and liability can be further complicated when the goals of executives do not align with the day-to-day requirements of operational managers.

We understand that for many of our clients, real estate ownership and management is a necessary burden unrelated to their core business. Among recent representative engagements, we served as the sole real estate law provider to the largest environmental response trust ever created. Involving more than 44 million square feet of space, the trust will help fund the cleanup, redevelopment and sale of key commercial property.

Our diverse client base is representative of the firm overall. It includes manufacturers, retailers, distributors, public-private partnerships, and other enterprises whose properties consist of shopping centers, mixed-use developments, and leisure and lodging industry projects such as hotels and resorts, timeshares, theme parks, water parks, aquariums, cultural attractions, concert venues, movie theaters, and sports and entertainment complexes, to name a few.

We advise clients on all aspects of real estate development, financing, construction, acquisitions, leasing, and operation. We have particular experience in the area of real estate finance, and regularly represent clients in debt and equity financing, joint ventures, ownership structuring and reorganization, structured finance and securitizations, letters of credit, credit enhancements, government incentives, corporate sponsorships, and strategic alliances. Before the shovel hits the ground, we have typically guided clients in the negotiation and documentation of architects, design/build and construction agreements, as well as facility operating, management, and other vendor services agreements.

We represent landlords and tenants in commercial leasing transactions involving ground, space, net, and other tax-advantaged leases. We also advise clients on real estate issues involved in mergers, acquisitions and other major transactions ranging from $500 million to $2 billion in value.

Our distressed asset practice is comprehensive. We counsel clients in the acquisition, disposition, and financing of distressed loan portfolios, as well as in loan workouts, bankruptcy sales, and debtor-in-possession financing.
