Crowell & Moring’s Jennifer Ray, Jonathan Nesher Named M&A Advisor 'Emerging Leaders'

Washington – July 11, 2018: Crowell & Moring LLP is pleased to announce that partner Jennifer A. Ray and counsel Jonathan S. Nesher have been recognized as “Emerging Leaders” by The M&A Advisor. The recognition honors international M&A and financing professionals under the age of 40 who have achieved significant success in deal-making, restructuring, or financing, and have made notable contributions to their industry and community.

Ray, a Washington-based partner in the firm’s Tax Group, advises clients on tax aspects of corporate and partnership transactions, tax planning matters, and executive compensation and employee benefit issues. She works with clients across a number of industries, with a particular focus on energy, health care, hospitality, investment funds, and financial institutions. Ray has experience representing both buyers and sellers on tax aspects of mergers, stock and asset acquisitions, joint ventures, and debt and equity financings. She frequently counsels on the structuring of pass-through entities, such as partnerships, LLCs, and S corporations. She has extensive experience drafting LLC and partnership agreements for joint ventures and funds, and structuring carried interest arrangements. Ray also advises clients on disguised sale, deemed partnership, and similar issues that arise in connection with transactions and on audit.

Nesher, a Washington-based counsel in the firm’s Corporate Group, represents public and private companies in domestic and international mergers, as well as stock and asset acquisitions and dispositions, carve-out transactions, private equity investments, venture capital financings, reorganizations, strategic partnerships, joint ventures, securities transactions, securities regulatory filings, and corporate compliance and governance issues. Nesher also represents clients on start-up and formation matters, debt financings, and general commercial contracting, including outsourcing arrangements and government contracts. Along with advising clients on corporate matters, Nesher also has experience counseling clients on emerging risks related to autonomous vehicles, internet-of-things (IoT), and artificial intelligence (AI).
