Addressing Unique Issues Relating to Purchases of Non-U.S. Registered Aircraft

What is common and customary for aviation transactions between parties in the United States is not always the case when a non-US seller is involved or if the target aircraft is not U.S. registered. These distinctions are key given the rapidly evolving economic sanctions and export controls that may apply to an aircraft that is, or previously has been, owned/registered/operated outside the United States. Join Caroline Brown and Chris Younger as they discuss how to identify and analyze potential issues in cross-border aircraft transactions using real-world scenarios.

Buyers of foreign owned or registered aircraft must consider many unique issues relating to such a purchase including:

  • Differing customs relating to the completion of the transaction;
  • Economic sanctions and export controls;
  • Obtaining all appropriate representations and warranties of Seller relating to it and the aircraft;
  • Ensuring receipt of clean title to the aircraft;
  • Choice of law/venue and dispute resolution procedures;
  • FAA airworthiness and related equipment requirements;
  • U.S. and foreign taxes;
  • Compliance with customs, economic sanctions, and related import/export requirements for relevant jurisdictions;
  • Insurance coverage requirements;
  • Determining the best aircraft delivery location; and
  • Financial complexities relating to payment of purchase price and loan payoff/lien release requirements.
