Japanese imaging and electronics company, Ricoh, engaged Crowell & Moring as counsel in making a strategic investment in a private U.S. technology company. The technology company had a complex capital structure with multiple constituencies.
As a strategic investor, Ricoh had evaluated various possibilities, including potential further changes in the capital structure of the company or other changes in ownership, to be compatible with the existing investors. Our first step was to think strategically about how to accommodate the novel, yet effective and simple, scenario that Ricoh had devised. We helped Ricoh to structure, effectively communicate, and negotiate the terms of its investment and its rights as an investor within the complex existing structure.
