Life Sciences - Commercial Transactions and Counseling
Corporate Structures, Tax, and Financing: We counsel on all corporate aspects of the life sciences business-corporate formation, shareholder rights, obligations and exit strategies, finance, corporate governance, executive compensation, and taxation issues.
Licensing and Other Strategic Business Partnerships: Joint ventures, partnerships, licensing agreements — we help our clients resolve strategic issues including optimum timing, terms and conditions, and alternative arrangements.
Cooperative Research and Development: We have successfully negotiated and drafted cooperative research and development agreements with both private sector partners and federal laboratories under the Federal Technology Transfer Act of 1986. We help clients decide whether a CRADA is appropriate and, if so, whether a federal or private partner would be best.
Government Contracts: Our preeminent Government Contracts practice is uniquely qualified to address all issues relating to the sale of biotechnology products and services to the federal government.
