Private Equity & Venture Capital
Crowell & Moring's rapidly-expanding private equity and venture capital practices combine seasoned fund formation, M&A and finance professionals to offer clients the expertise needed for successful transactions. We cover a broad range of industries, including heavy and light manufacturing, telecommunications, healthcare, technology and e-commerce, and media and entertainment, and utilize a wide variety of all transaction structures from public to private mergers to Section 363 acquisitions out of bankruptcy. Our clients include private equity funds and other sponsor vehicles that do not have committed capital, including pledge funds and fundless sponsors. This wealth of experience gives us insight into the complex business decisions our clients face, an understanding of the internal dynamics and operations of private equity and venture capital dealmakers, and a "360-degree" view that allows transactions to be completed more efficiently.
While our attorneys have handled private equity buyout and recapitalization transactions ranging from $10 million to several billion dollars, the core of our private equity practice is middle-market transactions. We provide sophisticated, high-quality representation while maintaining perspective on the size of the transaction and the economic considerations of our clients. We also have a strong understanding of the entrepreneurs and family operators that constitute the vast majority of sellers in this price range as well as the senior and mezzanine lenders who focus on middle market transactions. This helps us to anticipate issues before they arise.
Our attorneys are frequently involved in venture capital financing rounds ranging from early stage angel type investments to later stage growth investments. We represent start-ups, venture backed companies, angel and early stage investors and venture capital funds. Our representation covers the entire lifecycle of a venture company from inception to seed financing to various rounds of financing and ultimately to sale or IPO.
As a pioneer in alternative fee arrangements, our private equity and venture capital practice offers fee solutions for a wide variety of deal makers and transaction types. After the transaction is complete, we offer comprehensive, high-quality services to our clients' portfolio companies, including tax, employee benefits, employment law, regulatory, and commercial litigation matters. For most of our private equity clients, we support them through the full cycle from acquisition to exit.
