We work with our clients to identify appropriate corporate governance structures to provide our clients with a voice in the ongoing operation of a joint venture, protections regarding their ownership interests, and confidence that their corporate policies and culture will be integrated into the joint venture.
Unexpected outcomes or events may create conflict between transaction participants. Prior to entering into joint ventures, we advise clients on potential exit and deadlock resolution procedures. After entry into joint ventures, we provide clients with ongoing counseling related to their joint ventures and assist in unwinding joint ventures.
In addition, we represent our clients in negotiating, documenting, and implementing various agreements related to joint ventures, which may include:
