General Corporate Counseling
We have extensive experience in a wide variety of corporate governance areas, including financial reporting issues; internal corporate investigations; board fiduciary duties; board and committee composition, structure, and process; business ethics; corporate social responsibility issues; and all manner of emerging best practices in corporate governance and organization. We also provide guidance on the complex and far-reaching obligations under the Sarbanes-Oxley Act, including requirements related to disclosure controls, internal controls over financial reporting, and corporate governance.
Clients rely on us for expert legal advice and counseling necessary to ensure compliance with applicable statutory and regulatory standards – and to assist in the management and success of their businesses.
Our corporate attorneys often serve as counsel to boards of directors, independent directors, and special committees on matters of significant import to the ongoing viability of the company. In some instances, our attorneys function essentially as outside "general counsel," providing advice on a full range of business and financial matters.
Another primary focus of our general corporate practice involves counseling regarding the drafting of corporate documents, the use of various business structures, and strategic planning. We ensure the proper drafting and filing of all types of corporate, partnership, LLC, and joint venture documents, as well as other contracts necessary to the operation of our clients’ businesses (key employee agreements, non-disclosure agreements, financing documents, etc.). We provide these services to public companies (including Fortune 500 companies), private businesses, and entrepreneurs in a venture capital setting.
